M & A in the new era of SOX
The market for mergers and acquisitions tosenden back in 2004. A recovery of the economy and the willingness of companies to embrace once again risk with a significant increase deserve the most credit. But some M & A lawyers credit law, which has overwhelmed his colleagues internal: The Sarbanes-Oxley Act of 2002.
Several outside lawyers say that SOX, as it is often called, has paved the way for bids, as it has inspired greater confidence in the accounts of listed companies. It’s pumped to exercise diligence, Due Diligence, they say, prodded and everyone - including lawyers - just to rest.
Others are not so sure. The law has marginal effects, say some lawyers - particularly those representing financial institutions and companies in sectors that are already heavily regulated - and their rigidity may actually increase.
